What is a Wholesale Investor?

To be considered a sophisticated investor, a client's accountant needs to certify that they: Have earned an income of AUD $250,000 or more per annum for the last two years or Hold net assets of at least AUD $2,500,000 (reg 6D.2.03 and reg 7.1.280).

Sophisticated investors can access investment opportunities not generally available to retail investors. To be considered a sophisticated investor (Accredited investor), a client needs a Qualified Accountant's Certificate (also called a Sophisticated and Wholesale Investor Certificate or Accredited Investor Certificate) signed by a qualified accountant, verifying their assets and/or income.

Certificates are valid for two years and clients are to make the initial investment within six months of obtaining the certificate. Further information on this can be found in Chapters 6D and 7 of the Corporations Act 2001.

In order to qualify for Zerocap's Structured Products and Funds:

Please upload evidence such as an accountant's certificate (you can download and use this template if you do not have one).

You can do this by navigating to the "Your Account Information" section within the client portal. Here you will be prompted to answer the following: Are you/Is this company/Is this trust a wholesale client - as per ASIC's definition, or equivalent in your jurisdiction?

After selecting "yes" from the dropdown menu, you will be prompted to then upload evidence of "wholesale client status." Here you can upload your accountant's certificate and other supporting documentation.
